Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
| | (b) | On April 21, 2006, Jeffrey Potrzebowski resigned as Senior Vice President and Chief Financial Officer of Remy International, Inc. (the “Company”), for personal reasons. Mr. Potrzebowski’s resignation will be effective April 28, 2006. The Company has initiated a search for a new Chief Financial Officer. |
| | (c) | Concurrent with the acceptance of Mr. Potrzebowski’s resignation by the Board of Directors of the Company, Rajesh K. Shah, the Company’s Executive Vice President and Chief Operating Officer, was appointed, in addition to his current duties, interim Chief Financial Officer effective April 28, 2006. Mr. Shah will serve in both capacities until a new Chief Financial Officer is named. |
