Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective December 14, 2006, the boards of directors of United Rentals, Inc. and United Rentals (North America), Inc. each elected Jenne K. Britell, Ph.D. to serve as a director. Dr. Britell's election expands the current board from 12 to 13 directors. Dr. Britell will join the board of directors as a class 1 member, with a term of office expiring at the 2008 annual meeting of United Rentals, Inc. A press release announcing the election of Dr. Britell as a director is attached as Exhibit 99.1 and the first, second and third paragraphs thereof are incorporated by reference herein.
