Item 5. Other Events and Regulation FD Disclosure.
Getty Images, Inc., a Delaware corporation (the “company”), is filing this current report on Form 8-K for the purpose of filing with the Securities and Exchange Commission the company’s press release, dated June 4, 2003, announcing that the company has entered into an agreement to sell $240 million aggregate principal amount of its 0.5% Convertible Subordinated Debentures due 2023 (the “Debentures”), plus up to $25 million of Debentures issuable upon the exercise of the initial purchasers’ option, in a private placement. The Debentures will be convertible for shares of the company’s common stock based on an initial effective conversion price of $61.08, subject to adjustment. A copy of the press release issued by the company on June 4, 2003, is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
