(b) Patrick F. Flynn, the Company’s Chief Technology Officer, left the Company on November 7, 2006. Mr. Flynn’s departure occurred as part of a realignment of Company resources as described in Item 2.05 of the Current Report on Form 8-K filed with the Securities and Exchange Commission (SEC) on October 24, 2006. Mr. Flynn’s departure was an “Involuntary Termination” under his employment agreement dated August 16, 2004, and any payments or benefits to which Mr. Flynn is entitled will be determined in accordance with that agreement. His employment agreement was attached as exhibit 10.28 to our 2005 Annual Report on Form 10-K filed with the SEC on March 10, 2006.
