Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On April 13, 2006, National Health Realty, Inc. issued a press release announcing the receipt of a Warning Letter of the American Stock Exchange regarding non-compliance with Sections 121(A)(1), 121(B)(2)(a) and 121(B)(a)(ii) of the Amex Company Guide. This non-compliance is due to the unexpected death on March 31, 2006 of board member and audit committee chairman Joel H. Jobe. A copy of the press release is filed as Exhibit 99 to this Current Report on Form 8-K and is incorporated by reference herein.
