On April 7, 2020, Fresh Del Monte Produce Inc. (the “Company”) appointed Charles Beard, Jr. as a Class I director to the Company’s Board of Directors (the “Board”) for a term expiring at the 2022 Annual Meeting, effective immediately.
Mr. Beard will participate in the standard non-employee director compensation arrangements described under the heading “Director Compensation” in the Company’s Definitive Proxy Statement on Schedule 14A for the Company’s 2020 Annual Meeting of Shareholders filed with the Securities and Exchange Commission on March 19, 2020, including a pro-rata portion of the annual award of $125,000 in restricted shares, which would be 50% immediately vested and 50% vested six months after termination of service on the Company’s Board.
The Board has determined that Mr. Beard qualifies as an independent director under the New York Stock Exchange Listing Standards. At the time of this filing, Mr. Beard has not been appointed to any committee of the Board. There are no arrangements or understandings between Mr. Beard and any other persons with respect to his appointment as a director. Neither Mr. Beard nor any immediate family member of Mr. Beard has been a party to any transaction that would require disclosure under Item 404(a) of Regulation S-K.
