On January 31, 2006 Warwick Valley Telephone Company (the “Company”) issued a press release which contained certain results of the Company’s operations for the twelve month period ended December 31, 2005. The Company’s press release is furnished herewith as Exhibit 99.1.

Warwick Valley Telephone Company (the “Company”) issued a press release today regarding the retention of the investment banking firm Stifel, Nicolaus & Company, Incorporated to assess strategic options available to the Company. A copy of that press release is found in Exhibit 99.1 hereto, which is incorporated in this Item 8.01 by reference.
