Item 1.01. Entry into a Material Definitive Agreement.
On March 23, 2006, the Company’s Board of Directors, acting upon the recommendation of the Company’s Compensation Committee, exercised its discretion to approve a special cash bonus in the amount of $25,000 to Michael A. Cutler, Chief Financial Officer, in recognition of his leadership and efforts in fiscal year 2005 on the Company’s initiative to meet the requirements of Section 404 of the Sarbanes-Oxley Act.
