5.02(b) — On December 1, 2010, Mrs. Karen Hastie Williams retired from the Board of Directors of Washington Gas Light Company (Washington Gas), a subsidiary of WGL Holdings, Inc.
ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR
Effective December 3, 2010, the Board of Directors of Washington Gas amended Article II, Section 1 of the company’s Bylaws. The Bylaw amendment reduces the number of persons on the Washington Gas Board of Directors from eight to seven persons.
