The Registrant was unable to timely file the Report without
unreasonable effort or expense due to delays in gathering the necessary
information and due to financial statement presentation changes to comply with
applicable accounting guidelines.

reasonable estimate of the results cannot be made.
We expect revenues of approximately $16,000 in 2004 increased over nil revenues reported in 2003. We expect to report a loss for the year of approximately $1,622,000 in 2004 as compared to a loss of $1,200,880 for the last fiscal year. The principle reason for the increased loss in the current year is the Company’s 49.6% share of loss of Pure Energy Inc. (‘Pure’), approximately $563,000 in 2004. There was no equivalent value in the prior year, however the company booked in 2003 $210,000 as an impairment of its then investment in Pure. Technology expense in 2004, approximately $304,000 was marginally below the prior year value of $304,722. Professional fees decreased by approximately 32% from $378,651 in 2003 to approximately $258,000 in 2004. The 2004 costs are principally in respect of legal costs re legal actions, currently in negotiation, commenced by th e Company. General and administration costs increased by approximately 25% from $253,342 in 2003 to approximately $316,000 in 2004.
