On May 14, 2009, the shareholders of Dollar Thrifty Automotive Group, Inc. (the “Company”) approved the addition of 1,300,000 shares to the Company’s Second Amended and Restated Long-Term Incentive Plan and Director Equity Plan (the “Plan”) pursuant to the Second Amendment to the Plan (the “Amendment”).
The foregoing description of the Amendment is qualified in its entirety by reference to the Amendment attached hereto as Exhibit 10.221 and is incorporated herein by reference.
