On May 9, 2011, Dollar Thrifty Automotive Group, Inc., a Delaware corporation (the “Company”), issued a news release providing a response to the announcement by Hertz Global Holdings, Inc (“Hertz”) of an exchange offer to acquire all of the outstanding shares of common stock of the Company for a price of $72.00 per share, consisting of $57.60 in cash and 0.8546 shares of Hertz common stock.
