Mr. Gary W. Noon (“Mr. Noon”) resigned as Senior Vice President, Pharmaceuticals of Diversa Corporation (“Diversa”) on November 18, 2005. In connection with Mr. Noon’s resignation, the employment offer letter dated October 11, 2004 between Diversa and Mr. Noon is no longer in effect, except for certain provisions contained in the employee invention and non-disclosure agreement incorporated by reference therein which remain in effect.
