1. Performance based restricted stock shares granted pursuant to the Brookline Bancorp, Inc. 2021 Stock Option and Incentive Plan. The shares vest on the third anniversary of the date of grant based on certain performance based metrics.

2. Restricted stock shares granted pursuant to the Brookline Bancorp, Inc. 2021 Stock Option and Incentive Plan. The shares vest in three equal installments on an annual basis, commencing one year from the date of grant.

3. Reflects additional performance based shares granted pursuant to the Brookline Bancorp, Inc. 2014 Equity Incentive Plan.
