Item 2.02 Results of Operations and Financial Condition.
On August 12, 2009, Zareba Systems, Inc. (the “Company”) issued a press release announcing preliminary estimates of certain financial information for the fiscal year ended June 30, 2009. On August 12, 2009, the Company issued a press release announcing the filing with the Securities and Exchange Commission of a Schedule 13E-3 in connection with a proposed transaction that is intended to result in the voluntary termination of the registration of the Company’s common stock under the federal securities laws.
