Item 8.01 Other Events.
On March 24, 2008, SM&A issued a press release in response to the filing by Mr. Steven S. Myers of a preliminary proxy statement on that same date. A copy of SM&A’s press release is attached as Exhibit 99.1 to this Form 8-K.
SM&A and its directors and executive officers may be deemed to be participants in the solicitation of proxies from the stockholders of SM&A in connection with the issuance of the attached press release. Information regarding the interests of these directors and executive officers in any such solicitation will be included in any proxy statement filed by SM&A in connection with the election of directors of SM&A at its 2008 annual meeting of stockholders.
