2. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $508.00 to $508.42, inclusive. The reporting person undertakes to provide Watsco, any security holder of Watsco or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in footnote (2) to this Form 4.

3. The Class B Common Stock is convertible into Common Stock at any time on a one-for-one basis and has no expiration date.
