Item 8.01 Other Events.
On December 14, 2022, Eagle Bancorp, Inc. (the "Company") announced the declaration of a cash dividend of $0.45 per share for the fourth quarter of 2022. The cash dividend will be payable on January 31, 2023 to shareholders of record on January 5, 2023.
Additionally, the Company announced that the Board of Directors has adopted a new share repurchase program to take effect starting January 1, 2023, after the expiration of the current repurchase program on December 31, 2022. The Board of Directors authorized up to 1,600,000 shares of common stock for repurchase under the new program, which will expire on December 31, 2023, subject to earlier termination of the program by the Board of Directors.
