Explanation of Responses:

1. Stuart W. Epperson gifted Nineteen Thousand Six Hundred (19,600) shares of Class A Common Stock to a custodial account for each of seventeen (17) grandchildren and to each of the four (4) children's trusts, for a total gift of Four Hundred Eleven Thousand Six Hundred (411,600) shares. Stuart W. Epperson has not retained any voting or dispositive power over such gifted shares.
