Item 1.01 Entry into a Material Definitive Agreement.
Effective as of January 3, 2006, Virage Logic Corporation (“Virage Logic ” or the “Company”) entered into an offer letter with Mr. Jens Meyerhoff, the Company’s Chief Financial Officer. Pursuant to the offer letter, Mr. Meyerhoff will be entitled to receive cash compensation equal to $20,000 per month and be eligible to participate in the Company’s fiscal 2006 bonus plan for executive officers and will be eligible for an additional bonus of up to an additional 35% of his annual salary based upon the achievement of agreed-upon objectives. Additionally, Mr. Meyerhoff was granted an option to purchase 225,000 shares of Common Stock, such option to vest over a four-year period with 25% of the shares vesting one year from January 3, 2006, and at a rate of 1/48th of the shares per month for the remaining 36 months, for so long as Mr. Meyerhoff continues to be employed by the Company.

Effective January 3, 2006, Mr. Jens Meyerhoff was appointed Chief Financial Officer of the Company to replace Mr. Michael Seifert, who is leaving the Company.
