1. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $115.52 to $116.045. The reporting person undertakes to provide to Quanta Services, Inc., any security holder of Quanta Services, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote.

2. The restricted stock units are settled in shares of common stock on a one-for-one basis, provided that in certain circumstances the reporting person may elect to settle up to 50% of the restricted stock units in cash.

3. Includes 1,563 unvested restricted stock units and 19,573 vested restricted stock units for which settlement has been deferred by the reporting person pursuant to the terms of a nonqualified deferred compensation plan maintained by the issuer. Unless otherwise provided in the applicable award agreement, the unvested restricted stock units vest on June 1, 2022 and settlement of all or a portion of such restricted stock units may be deferred by the reporting person.
