EXPLANATORY NOTE
This Amendment No. 1 (“Amendment No. 1”) amends and supplements the Issuer Tender Offer Statement on Schedule TO initially filed with the Securities and Exchange Commission (the “SEC”) on March 17, 2020 by BlackRock Debt Strategies Fund, Inc., a diversified,closed-end management investment company organized as a Maryland corporation (the “Fund”), pursuant toRule 13e-4 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), in connection with an offer by the Fund (the “Offer”) to repurchase 5% of its issued and outstanding shares of common stock, par value $0.10 per share (the “Shares”), in exchange for cash at a price equal to 98% of the net asset value per Share determined as of the close of the regular trading session of the New York Stock Exchange, the principal market on which the Shares are traded, on the day the Offer expires, upon the terms and subject to the conditions set forth in the Offer to Purchase, dated March 17, 2020 (the “Offer to Purchase”), and in the related Letter of Transmittal.
This Amendment No. 1 to Schedule TO is intended to satisfy the requirements pursuant toRule 13e-4(c)(3) of the Exchange Act.
The information contained in the Offer to Purchase and the Letter of Transmittal, previously filed with the Schedule TO as Exhibits (a)(1)(i) and (a)(1)(ii), respectively, is incorporated by reference into this Amendment No. 1 in answer to Items 1 through 9 and Item 11 of the Schedule TO.
