Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 5, 2015, the Compensation Committee of the Board of Directors (the “Committee”) of J. Crew Group, Inc. (the “Company”) increased the base salary of Joan Durkin, SVP, Chief Accounting Officer & Interim Chief Financial Officer from $310,000 to $335,000. The Committee also approved a long-term cash incentive award to Ms. Durkin of $200,000 payable 50% in May 2015 and 50% in May 2016, subject to repayment if she is terminated for cause or resigns from employment for any reason within twelve (12) months of each respective payment.
