Item 1.01 Entry into a Material Definitive Agreement.
On October 27, 2006, EnergySouth, Inc. (the “Company”) entered into an employment agreement (the “Employment Agreement”) with C.S. “Dean” Liollio. The Employment Agreement is the definitive agreement contemplated by the Letter Agreement made on June 26, 2006 by the Company and Mr. Liollio (the “Letter Agreement”) with respect to his employment as President and Chief Executive Officer of the Company. The Employment Agreement, which is effective as of August 1, 2006, replaces the Letter Agreement and includes the provisions specified in the Letter Agreement with certain additions and modifications. The foregoing description of the Employment Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Employment Agreement, a copy of which is filed with this Current Report on Form 8-K as Exhibit 99.1.
