Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements for Certain Officers
On July 22, 2013, United States Cellular Corporation (“U.S. Cellular”), a subsidiary of Telephone and Data Systems, Inc. (“TDS”), adopted the U.S. Cellular 2013 Officer Annual Incentive Plan (“Plan”). This Current Report on Form 8-K is being filed by TDS pursuant to Item 5(e) of Form 8-K because the Plan covers Mr. Kenneth R. Meyers as President and Chief Executive Officer of U.S. Cellular, and Mr. Meyers is a named executive officer of TDS. A copy and description of this plan is set forth in U.S. Cellular’s Form 8-K dated July 22, 2013, which is incorporated by reference herein.
