First Niagara Prices Common Stock Offering
LOCKPORT, N.Y., April 14, 2009 — First Niagara Financial Group, Inc. (NASDAQ: FNFG) today announced the pricing of an underwritten public offering of 27,000,000 shares of the Company’s common stock at a price to the public of $12.25 per share for gross proceeds of approximately $330.8 million. The net proceeds to the Company after deducting underwriting discounts and commissions and estimated offering expenses are expected to be approximately $313.6 million.
First Niagara has granted the underwriters a 30-day option to purchase up to an additional 4,050,000 shares of First Niagara common stock to cover over-allotments, if any. Keefe, Bruyette & Woods, Inc. and Goldman, Sachs & Co., acted as representatives of the underwriters.
The Company expects to close the transaction, subject to customary conditions, on or about April 20, 2009.
