This Amendment No. 1 amends and supplements the Tender Offer Statement on Schedule TO (“Schedule TO”) filed with the Securities and Exchange Commission on April 24, 2008 relating to the issuer tender offer of Belk, Inc., a Delaware corporation, in connection with its offer to purchase up to 250,000 shares of its Class A common stock, $0.01 par value per share, and up to 750,000 shares of its Class B common stock, $0.01 par value per share, at a price of $25.60 per share, net to the seller in cash, without interest, upon the terms and subject to the conditions set forth in the Offer to Purchase dated April 24, 2008 and in the related Letter of Transmittal.
The information contained in the Offer to Purchase, as amended, and the related Letter of Transmittal, are hereby incorporated by reference in response to all items of this Schedule TO, as amended, except that such information is hereby amended and supplemented to the extent specifically provided herein.
Item 11. Additional Information.
The Offer expired at 12:00 midnight, E.D.T., on May 21, 2008. A total of 520,063 shares of Class A common stock were tendered by 41 stockholders and a total of 352,895 shares of Class B common stock were tendered by 57 stockholders pursuant to the Offer. Effective May 22, 2008, Belk accepted for purchase all of the tendered shares of Class A and Class B common stock at the purchase price of $25.60 per share. As permitted under Rule 13e-4(f) under the Securities Exchange Act of 1934, Belk accepted for payment 270,063 additional shares of Class A common stock, representing 0.57% of the outstanding shares of Class A common stock as of April 11, 2008, which amount is less than 2% of the outstanding shares of Class A stock that was subject to the Offer. The total purchase price for the purchased shares was $22,347,724.80.
