ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On January 29, 2009, Heritage Commerce Corp issued a press release announcing results for the year ended December 31, 2008. A copy of the press release is attached as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
ANNUAL SHAREHOLDERS MEETING
The 2009 Annual Shareholders meeting will be held on May 28, 2009.
QUARTERLY DIVIDEND
On January 29, 2009, the Company announced that its Board of Directors declared a $0.02 per share quarterly cash dividend. The dividend will be paid on March 19, 2009, to shareholders of record on February 27, 2009. A copy of the press release is attached as Exhibit 99.2 to this Current Report and is incorporated herein by reference.
