Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 19, 2008, Anurag Lal, Chief Business Development and Sales Officer of iPass Inc. (the “Company”), notified the Company that he is resigning as an employee and officer of the Company. Mr. Lal's expected last day of service with the Company is February 29, 2008.
The Company will pay to Mr. Lal two-thirds of the first quarter 2008 bonus he would have been entitled to receive under the iPass 2008 Annual Executive Management Bonus Plan (the “Plan”) if Mr. Lal had remained with the Company. The amount, if any, of the quarterly bonus would be paid upon the achievement of the corporate performance objectives pursuant to the Plan, as described in the Company’s Current Report on Form 8-K, as filed with the Commission on February 15, 2008.
