On March 20, 2013, Kenneth H. Traub, a director of iPass Inc., notified iPass that he is declining to stand for re-election to the Board of Directors at the 2013 annual meeting of stockholders and has tendered resignation from the Board of Directors effective just prior to the start of the 2013 annual meeting.
