Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) Director Election. On December 11, 2019, the Board of Directors (the “Board”) of American Tower Corporation (the “Company”) appointed Bruce L. Tanner to the Audit Committee of the Board. The Board had previously elected Mr. Tanner as a director on September 13, 2019.
Item 8.01 Other Events.
On December 11, 2019, the Board declared a cash distribution of $1.01 per share of the Company’s common stock, payable on January 14, 2020 to such stockholders of record at the close of business on December 27, 2019.
