Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 5, 2015, the compensation committee of our board of directors determined that the unvested portions of the currently outstanding restricted stock unit awards and stock options issued under our 2006 equity incentive plan to our former executive vice president, chief financial officer and treasurer Wayne Mackie will not be forfeited and will continue to vest, and that any such stock option that is or becomes vested will remain exercisable until such option’s expiration date, regardless of the timing of the termination of Mr. Mackie’s employment with, or provision of services to, us. In making this determination, the compensation committee cited, among other important contributions by Mr. Mackie, his valuable past services to us and his active role in the transition of our chief financial officer.
