Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) Election of Christopher Small to Board of Directors. On March 4, 2025, MFA Financial, Inc. (the “Company”) announced that its Board of Directors (the “Board”) has elected Christopher Small as a director of the Company effective as of such date. Mr. Small fills the vacancy on the Board created by the passing of Francis J. Oelerich III in December 2024. In connection with Mr. Small’s election, the Board has appointed him to serve on each of the Audit Committee and the Compensation Committee of the Board. A copy of the press release reporting on Mr. Small’s election is attached as Exhibit 99.1 to this Current Report on Form 8-K.
