Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Change in Fiscal Year
On April 29, 2015, the Board of Directors of School Specialty, Inc. (the “Company”) approved a change in the Company’s fiscal year end from the last Saturday in April to the last Saturday in December. The Company plans to report its financial results for the period of April 26, 2015 to December 26, 2015 on a transition report on Form 10-K and to thereafter file reports for the periods based on the new fiscal year. Prior to filing the transition report, the Company will file its annual report on Form 10-K for the fiscal year ended April 25, 2015, and its quarterly reports on Form 10-Q for the quarters ending July 25, 2015 and October 24, 2015.
