Submission of Matters to a Vote of Security Holders
At the 2019 Annual Meeting of Stockholders of School Specialty, Inc. (the “Company”) held on June 6, 2019, the stockholders voted on proposals to: (1) elect the five individuals nominated by the Board of Directors of the Company to serve as directors until the 2020 Annual Meeting of Stockholders; (2) approve an advisory resolution on the compensation of the Company’s named executive officers; and (3) ratify the appointment of Grant Thornton LLP as the Company’s independent registered public accounting firm for fiscal 2019.
