Explanation of Responses:

1. Restricted stock grant award vesting 50% on second anniversary, 25% on third anniversary and 25% on fourth anniversary of the grant date.

2. Stock option grant award vesting 50% on second anniversary, 25% on third anniversary and 25% on fourth anniversary of the grant date.

3. Each PSU represents a contingent right to receive one share of common stock.

4. The PSU grant vesting schedule: 1/3 of PSU grant vests 2/26/2019 if the company's stock achieves a market price of $9.00/share; another 1/3 of PSU grant vests 2/26/2020 if the company's stock achieves a market price of $11.00/share; the final 1/3 of PSU grant vests 2/26/2021 if the company's stock achieves a market price of $13.00/share.
