| 1. Upon the consummation of the merger (the "Merger") pursuant to that certain Agreement and Plan of Merger (the "Merger Agreement") by and among PCTEL, Inc. (the "Company"), Amphenol Corporation, a Delaware corporation ("Parent") and Hilltop Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent ("Merger Sub"), 88,307 shares of common stock of the Company ("Common Stock") were converted into the right to receive a cash payment of $7.00 (the "Merger Consideration") per share of Common Stock, for an aggregate of $618,149, representing the product obtained by multiplying (x) the number of shares of Common Stock owned by the reporting person, by (y) the Merger Consideration. |
