Explanation of Responses:

1. The transfer agent was instructed to issues shares on January 23rd, 2018. Transfer agent confirmed transaction was complete on January 30th, 2018.

2. Landmark Pegasus Inc. acquired the securities being reported as payment (from issuer) of a fee pursuant to a Financial Advisor Agreement with issuer. The Total amount of securities being issued was 485,437 of which only 235,437 were issued to Landmark Pegasus, Inc. The remaining 250,000 were issued to 2 other principals of Landmark Pegasus, Inc. who do not control Landmark Pegasus, Inc. and who are not 10% owner or affiliate of the company.
