Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
Roscoe C. Young, II has been elected as an independent director of the Company effective May 1, 2005 by the Company's board of directors, and has been appointed to the Audit, Compensation and Human Resources and Benefits Committees of the board of directors. Mr. Young will stand for election to the board of directors at the Company's 2005 Annual Meeting on June 16, 2005.Mr. Young is presently Chief Executive Officer and Chief Operations Officer of KMC Telecom Holdings, a provider of telecommunications infrastructure and services. KMC Telecom Holdings has entered into agreements for the sale of its competitive local exchange carrier assets, which are expected to close in the second or third quarter of 2005. Mr. Young has agreed to remain in his current position to facilitate the closing of these sales and thereafter plans to discontinue his employment with KMC.
