Reference is hereby made to the Information Statement on Schedule 14C filed by Time Warner Telecom Inc. (the "Company") with the Securities and Exchange Commission on October 12, 2006 (the "Information Statement"). Such Information Statement is hereby incorporated by reference herein. On November 13, 2006, the Company filed a Restated Certificate of Incorporation of the Company with the Secretary of State of the State of Delaware, thereby amending and restating its previous Restated Certificate of Incorporation as described in the Information Statement. A copy of the new Restated Certificate of Incorporation is attached hereto as Exhibit 3.1 and is incorporated by reference herein.
