Item 5.07 Submission of Matters to a Vote of Security Holders.
At the Company’s 2013 Annual Meeting on May 3, 2013, of the 64,997,052 shares outstanding and entitled to vote, 60,656,949 shares were represented, constituting a 93.32% quorum. The final results for each of the matters submitted to a vote of stockholders at the Annual Meeting are as follows:
Item No. 1: All of the board’s nominees for Class II directors were elected to serve until the Company’s 2016 Annual Meeting or until their respective successors are elected and qualified, by the votes set forth in the table below:

Nominee: Guy L. de Chazal FOR: 48,789,000 WITHHELD: 1,582,386
Item No. 2: The stockholders approved an amendment to the 2011 Stock Incentive Plan to increase the number of shares available for issuance thereunder from 4,500,000 to 8,500,000, an increase of 4,000,000 shares.
