ITEM 5.02 Departure of Directors or Principal Officers: Election of Directors: Appointment of Principal Officers.
On April 23, 2007, CFS Bancorp, Inc. (the “Company”) announced that Daryl D. Pomranke has been named Executive Vice President - Chief Operating Officer of the Company and its wholly-owned subsidiary, Citizens Financial Bank, effective April 30, 2007.

On April 23, 2007, the Company issued a press release announcing the appointment of Daryl D. Pomranke as Executive Vice President - Chief Operating Officer.
