Explanation of Responses:

1. Revised to include 17,085 shares of Class A common stock that were omitted from the Reporting Person's original Form 3.

2. The Reporting Person is the managing member of Kindred Capital Advisors LLC ("Kindred Capital"). Therefore, he may be deemed to have beneficial ownership of the shares of Class A common stock held directly by Kindred Capital. The Reporting Person disclaims beneficial ownership of such shares, except to the extent of his pecuniary interest therein.
