Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
5.02(b) Washington Banking Company reports that its director, Mr. Jerry C. Chambers, passed away suddenly on February 13, 2007. Mr. Chambers had served as a director since August 2000, and was also a director of the company’s wholly-owned subsidiary, Whidbey Island Bank. Mr. Chambers was currently serving as Vice-Chairman of both boards, Chairman of the Audit Committee and was a member of the Corporate Governance Committee.
