Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
(d) Effective October 1, 2008,John L. Wagnerwas promoted to the position of Chief Executive Officer of Washington Banking Company. Wagner has been employed by the Company’s wholly-owned subsidiary, Whidbey Island Bank since 1999, and has been the President & CEO of the Bank since April 2007. Mr. Wagner is currently a director of both the Company and the Bank and serves on the Bank’s Loan Committee.
