Item 8.01 Other Events.
On September 29, 2022, America First Multifamily Investors, L.P. (the “Partnership”) announced an update to the previously announced supplemental distribution payable in the form of additional Beneficial Unit Certificates (“BUCs”) at a ratio of 0.01044 BUCs for each BUC outstanding on the record date (the “Supplemental BUCs Distribution”). No fractional BUCs will be issued in connection with the supplemental distribution. As updated, all fractional BUCs resulting from the distribution will receive cash for such fraction based on the market value of the BUCs on the record date.
The Supplemental BUCs Distribution will be paid on October 31, 2022 to all BUC holders of record as of the close of trading on September 30, 2022. The BUCs will trade ex-distribution as of September 29, 2022.
On September 29, 2022, the Partnership issued a press release announcing the update to the Supplemental BUCs Distribution. A copy of the Partnership’s press release is attached as Exhibit 99.1 hereto and is incorporated by reference into this report.
