Item 2.01. Completion of Acquisition or Disposition of Assets.
On February 14, 2005, Interstate Hotels & Resorts, Inc. a Delaware Corporation, (the "Company"), announced the closing on the acquisition of the 329-room Hilton Concord in the San Francisco, California, East Bay. The purchase price was $29.15 million, or $88,600 a room. The Company financed a portion of the acquisition with a $19.0 million mortgage loan provided by Massachusetts Mutual Life Insurance Company. The balance of the acquisition price was funded with a combination of cash on hand and borrowings under the Company's credit facility. The property was purchased from Hanford Hotels, Inc. The Company will also manage the hotel.

It is impracticable for the Registrant to provide the required financial statements and pro forma financial information at the time of this filing. The Registrant will file such financial statements and pro forma financial information by amendment no later than 71 days after the date this report is filed, as permitted under Item 9.01 of Form 8-K.
