Explanation of Responses:

1. This Form 4 is filed jointly by Associated Capital Group, Inc. ("AC"), GGCP Holdings, LLC ("Holdings"), GGCP, Inc. ("GGCP") and Mario Gabelli (collectively, the "Reporting Persons"). Each Reporting Person disclaims beneficial ownership of the securities of the Issuer reported herein except to the extent of his or its pecuniary interest therein.

2. Securities owned directly by AC. Holdings via GGCP may be deemed to beneficially own the shares as a result of its controlling ownership. Mr. Gabelli may be deemed to have beneficial ownership of the shares held by Holdings on the basis of (i) his position as the Chief Executive Officer of, a director of, and the controlling shareholder of, GGCP, which is the manager and a majority member of Holdings, and (ii) certain profit interests in Holdings.
