Item 2.02 Results of Operations and Financial Condition.
On April 19, 2006, the Registrant issued a press release reporting its financial results for the period ended March 31, 2006. A copy of the press release is being furnished as an exhibit to this report and is incorporated by reference into this Item 2.02.
Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
Effective April 21, 2006, Wayne W. Broadwater resigned from the Board of Directors of the Registrant. He was appointed an honorary director with the title of Director Emeritus on April 21, 2006 by the Board of Directors.
Item 8.01 Other Events.
On April 21, 2006, the Registrant’s Board of Directors declared a cash dividend of $0.01 for each share of the Registrant’s common stock outstanding. The dividend is payable on May 19, 2006 to shareholders of record on May 5, 2006. Based on the current number of shares outstanding, the aggregate payment will be approximately $244,000.
