Item 8.01. Other Events.
On October 26, 2004, Quicksilver Resources Inc. (the “Company”) announced its intention to offer approximately $130 million principal amount of convertible debentures due 2024 in a transaction made only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933. On October 27, 2004, the Company announced the pricing of such offering.
Pursuant to Rule 135c of the Securities Act of 1933, copies of the press releases announcing the matters described in the preceding paragraph are attached as Exhibits 99.1 and 99.2 to this Current Report on Form 8-K and incorporated herein by reference.
